Pursuant to the decisions regarding the demerger of PID Infond Zlat, d.d., adopted at the shareholders’ meeting, and considering the regulatory provisions on the structure of investments, all such investments were transferred to Infond Holding, d.d., that did not meet the criteria to be transferred to an investment fund management company. These are, above all, shares of joint-stock companies in which the transferring company PID Infond Zlat, d.d., held more than 15% ownerships, as well as all limited liability companies.
By actively managing the investment portfolio, Infond Holding, d.d., will create additional shareholders’ value and will assure better performance results of the companies held in the portfolio.

Defined are the main goals of the Holding’s activity which are as follows:

• to ensure the shareholders a return which is on the same level as the return of the leading Slovenian companies
• regular dividend payout
• achieving positive effects for the companies that operate within the Holding while respecting development and tax aspects

The basic strategy on managing and governing the Holding incorporates:

• investment portfolio restructuring
  through disposal of ownership in the companies which do not meet a certain return, we will acquire assets for investing into prosperous companies, and for consolidating our ownership in these companies. At the same time we will reduce shares in the companies that operate in non-profitable economic sectors, and in the companies in which we can not exercise influence over business decisions, and do not show profitable performance.

• concentration of ownership
  In order to better manage the portfolio, our main goal in the forthcoming period is to decrease the number of companies in our portfolio to between 20 and 30. We will primarily increase our stake in the companies for which we foresee an adequate return on equity and dividend return, and operate in promising sectors with a high-growth potential.

• active monitoring of key companies
  For top companies in the Holding we are developing the system of active monitoring. It means, we closely co-operate with the management and supervisory boards of the companies, and follow their financial performance. We intend to strengthen the co-operation between companies in order to realize performance synergies. According to the needs, the Holding will participate in the decision-making process of the companies in order to provide the best business solutions.

• distribution of the Holding’s profit
  In compliance with the adopted strategy, the Holding will regularly distribute the realized profit among shareholders, should the shareholder not decide to reinvest the profit or to allocate it into reserves.
